Terms of Use

1. Acceptance of Terms

KinLoop ("the Service") is operated by Chisel Theory LLC ("Chisel Theory," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service constitutes acceptance of any modified Terms.

2. Description of Service

KinLoop is a family caregiver coordination platform that enables users to:

• Create and manage care circles for coordinating caregiving responsibilities
• Track medications, tasks, and appointments, with reminders and calendar sync
• Add medications by scanning a medication label on your device
• Share updates, messages, photos, and voice memos with care team members
• Record and review health vitals and symptoms
• Record a doctor visit and transcribe it on your device to keep with the visit notes
• Store care documents, insurance records, and a medical summary in a shared documents vault
• Use caregiver wellbeing tools, including private mood check-ins, self-care logging, and a private journal
• Generate care reports, pre-visit summaries, weekly digests, and automated care insights

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized use

4. User Responsibilities

When using the Service, you agree to:

• Use the Service only for lawful purposes
• Obtain proper consent before adding others to care circles
• Confirm that you have the legal authority or the care recipient's consent to enter, store, and share that person's health and personal information with your care circle
• Obtain any consent required by law before recording a conversation, including a conversation with a healthcare provider, and comply with the recording and wiretap laws that apply to you
• Respect the privacy of care recipients and other users
• Not share sensitive health information inappropriately
• Not use the Service to harass, abuse, or harm others
• Not attempt to gain unauthorized access to the Service
• Not interfere with or disrupt the Service

You also agree not to abuse the Service or the systems behind it. In particular, you will not:

• Access the Service by any automated means, including bots, scrapers, or scripts, or send requests at a volume or rate a person could not
• Circumvent or attempt to circumvent any limit, rate limit, plan restriction, or security measure, including the member limit on a free care circle
• Reverse engineer, decompile, or probe the Service or its backend, or attempt to discover its source code or private interfaces
• Use invitations, support requests, or any messaging feature to send unsolicited or bulk messages
• Impersonate any person, misrepresent your relationship to a care recipient, or add a person to a care circle without the authority to do so
• Upload malicious code or content, or use the Service to store or distribute material you have no right to
• Share, sell, or transfer your account, or use the Service to provide a service to third parties without our written permission
• Make fraudulent purchases, initiate chargebacks for charges you authorized, or otherwise abuse the subscription or free trial

5. Health Information Disclaimer

KinLoop is NOT a medical device or healthcare provider. The Service:

• Does not provide medical advice, diagnosis, or treatment
• Is not a substitute for professional medical care
• Should not be used in emergency medical situations (call 911)
• May contain errors in medication or health tracking features
• Provides reminders, insights, digests, and visit transcripts that are for coordination only, may be incomplete or inaccurate, and are not medical advice
• Is not a monitoring, alarm, or emergency response service. Reminders and alerts, including medication, missed-dose, and vital-sign alerts, depend on your device, network, and settings, and may be delayed, missed, or wrong. Never rely on them for anyone's safety
• Shows information entered by you and other members of your care circle. We do not verify it

Some features deserve their own plain statement:

• Medication safety check. It compares the medications on your list for repeated active ingredients and repeated drug classes. It is not an interaction check, it cannot see everything, and it does not know the care recipient. Do not start, stop, or change a dose because of anything it shows. A pharmacist can review the whole list with you, usually for free.
• Medical Summary. A convenience for sharing a care recipient's conditions, allergies, medications, and contacts with a clinician or family member. It is not designed for, and is not reachable by, first responders. For that, set up the emergency information built into the phone itself.
• Care insights, digests, and alerts. These are generated automatically from the information in your circle. They can be incomplete, late, or simply wrong, and they are not a clinical assessment.
• Caregiver wellbeing. Mood, energy, and stress check-ins and the resources we list are for self-reflection. They are not mental health care, screening, or treatment. If you are in crisis, contact emergency services or, in the United States, call or text 988.

Always consult qualified healthcare providers for medical decisions. You are solely responsible for verifying medication information, dosages, and schedules with healthcare professionals.

6. Subscription and Payment

KinLoop is free to use with one care circle and up to three members. Some features require a paid subscription. We offer a single paid plan, Full Circle, at $6.99 per month, which unlocks calendar sync, care reports, pre-visit summaries, the care journal, and automated care insights, with unlimited members and storage, across every care circle you administer. New subscribers get a 1-month free trial before the first charge. Current prices are shown at the point of purchase.

Subscriptions are purchased in the KinLoop mobile apps, through one of two billing channels:

• Apple App Store (iOS), billed to your Apple Account
• Google Play (Android), billed to your Google Account

By subscribing, you agree to:

• Pay all fees associated with your subscription plan
• Automatic renewal each period unless you cancel before the renewal date
• Provide accurate billing information

Subscriptions renew automatically until cancelled. You can manage or cancel a subscription in your Apple Account settings (iPhone) or your Google Play account (Android), depending on where you purchased it. If a free trial is offered, it will convert to a paid subscription unless you cancel before the trial ends. Refunds are handled according to the policies of the store through which you purchased. If we suspend or terminate your account for a violation of these Terms, you are not entitled to any refund from us for the unused portion of a subscription.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Chisel Theory LLC and are protected by copyright, trademark, and other intellectual property laws. KinLoop is a trademark of Chisel Theory LLC. You may not:

• Copy, modify, or distribute the Service
• Reverse engineer or attempt to extract source code
• Use our trademarks without permission
• Create derivative works based on the Service

8. User Content

You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant us a license to use, store, and display it as necessary to provide the Service. You represent that you have the right to submit such content and that it does not violate any laws or third-party rights.

We reserve the right to remove User Content that violates these Terms or is otherwise objectionable.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS

11. Indemnification

You agree to indemnify and hold harmless Chisel Theory LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your account at any time, without prior notice, for conduct that we believe:

• Violates these Terms, including the acceptable use rules in Section 4
• Abuses, overloads, or attempts to compromise the Service or the systems behind it
• Is harmful to other users, care recipients, or the Service
• Is fraudulent or illegal, including fraudulent purchases or chargebacks
• Creates a security or legal risk for us or for other users

We will usually tell you why, but we are not required to, and we may act first where the conduct is ongoing or the risk is serious. You can ask us to reconsider by writing to [email protected].

If we suspend or terminate your account:

• Your access ends, and we may remove you from any care circle you belong to and remove content you posted
• Any Full Circle coverage your subscription provided to care circles you administered ends. Other members keep their own accounts and the circle's shared care data, as described in the Privacy Policy
• If you were a circle's only administrator, we may take reasonable steps so the circle remains usable by its other members, which may include assigning another member as administrator, or we may close the circle
• We may keep records relating to the violation for security, legal, and abuse prevention purposes, as described in the Privacy Policy
• The sections of these Terms that by their nature should survive, including Sections 5, 7, 10, and 11, continue to apply

You may terminate your account at any time by deleting it through the app settings.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of California.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
