1. Acceptance of Terms

KinLoop ("the Service") is operated by Chisel Theory LLC ("Chisel Theory," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service constitutes acceptance of any modified Terms.

2. Description of Service

KinLoop is a family caregiver coordination platform that enables users to:

• Create and manage care circles for coordinating caregiving responsibilities
• Track medications, tasks, and appointments, with reminders and calendar sync
• Add medications by scanning a medication label on your device
• Share updates, messages, photos, and voice memos with care team members
• Monitor health vitals and symptoms, including vitals read from Apple Health
• Record a doctor visit and transcribe it on your device to keep with the visit notes
• Store care documents, insurance records, and an emergency card in a shared documents vault
• Use caregiver wellbeing tools, including private mood check-ins, self-care logging, and a private journal
• Use safety features including location sharing and safe-zone alerts, including in the background
• Generate care reports, pre-visit summaries, weekly digests, and automated care insights

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized use

4. User Responsibilities

When using the Service, you agree to:

• Use the Service only for lawful purposes
• Obtain proper consent before adding others to care circles
• Confirm that you have the legal authority or the care recipient's consent to enter, store, and share that person's health and personal information with your care circle
• Obtain any consent required by law before recording a conversation, including a conversation with a healthcare provider, and comply with the recording and wiretap laws that apply to you
• Respect the privacy of care recipients and other users
• Not share sensitive health information inappropriately
• Not use the Service to harass, abuse, or harm others
• Not attempt to gain unauthorized access to the Service
• Not interfere with or disrupt the Service

5. Health Information Disclaimer

KinLoop is NOT a medical device or healthcare provider. The Service:

• Does not provide medical advice, diagnosis, or treatment
• Is not a substitute for professional medical care
• Should not be used in emergency medical situations (call 911)
• May contain errors in medication or health tracking features
• Provides reminders, insights, digests, and visit transcripts that are for coordination only, may be incomplete or inaccurate, and are not medical advice

Always consult qualified healthcare providers for medical decisions. You are solely responsible for verifying medication information, dosages, and schedules with healthcare professionals.

6. Subscription and Payment

KinLoop is free to use with one care circle and one member. Some features require a paid subscription. We offer a single paid plan, Full Circle, at $6.99 per month, which unlocks calendar sync, care reports, pre-visit summaries, the care journal, and automated care insights, with unlimited members and storage, across every care circle you administer. New subscribers get a 1-month free trial before the first charge. Current prices are shown at the point of purchase.

Subscriptions are purchased in the KinLoop mobile apps, through one of two billing channels:

• Apple App Store (iOS), billed to your Apple Account
• Google Play (Android), billed to your Google Account

By subscribing, you agree to:

• Pay all fees associated with your subscription plan
• Automatic renewal each period unless you cancel before the renewal date
• Provide accurate billing information

Subscriptions renew automatically until cancelled. You can manage or cancel a subscription in your Apple Account settings (iPhone) or your Google Play account (Android), depending on where you purchased it. If a free trial is offered, it will convert to a paid subscription unless you cancel before the trial ends. Refunds are handled according to the policies of the store through which you purchased.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Chisel Theory LLC and are protected by copyright, trademark, and other intellectual property laws. KinLoop is a trademark of Chisel Theory LLC. You may not:

• Copy, modify, or distribute the Service
• Reverse engineer or attempt to extract source code
• Use our trademarks without permission
• Create derivative works based on the Service

8. User Content

You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant us a license to use, store, and display it as necessary to provide the Service. You represent that you have the right to submit such content and that it does not violate any laws or third-party rights.

We reserve the right to remove User Content that violates these Terms or is otherwise objectionable.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS

11. Indemnification

You agree to indemnify and hold harmless Chisel Theory LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your account at any time, without prior notice, for conduct that we believe:

• Violates these Terms
• Is harmful to other users or the Service
• Is fraudulent or illegal

You may terminate your account at any time by deleting it through the app settings.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of California.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
